Terms of Service

1. About these Terms

These Terms of Service ("Terms") govern your use of the Tablz website, booking pages, booking widgets and related services (together, the "Service").

The Service is operated by Transparent Kitchen Inc., doing business as Tablz, a corporation incorporated in Ontario, Canada, with its registered office at 130b Carruthers Ave, Ottawa, Ontario K1Y 1N5, Canada ("Tablz", "we", "us", "our").

By using the Service or making a booking through it, you agree to these Terms. If you do not agree, please do not use the Service.

These Terms work alongside our Privacy Policy, which explains how we handle your information and forms part of these Terms.

2. Who can use Tablz

You must be at least 18 years old and able to enter into a binding contract to use the Service or make a booking. The Service is not directed to children.

If you book on behalf of other guests, you are responsible for their compliance with these Terms, and you confirm you have their permission to share their details with us where you do so.

3. What Tablz does

Tablz lets you see a participating restaurant's dining room in 3D and choose the specific table you want, rather than accepting whatever table is assigned to you. We are a reservation concierge service: we showcase and reserve specific tables on behalf of participating restaurants, and some venues also ask us to manage their premium bookings directly on their behalf.

We list only venues we have an agreement with. Tablz lists, promotes and takes bookings for a restaurant only where we have a written agreement with that restaurant or its authorised representative. We are the restaurant's authorised booking channel. We do not buy, resell, transfer or trade reservations, and we do not operate a secondary market in them.

We are not the restaurant. Tablz does not own, operate or control any restaurant, does not prepare or serve food or drink, and does not provide the dining experience. Your meal, the service you receive, the seating you are actually given on the night and the condition of the premises are the restaurant's responsibility, not ours. Tablz operates alongside the restaurant's own reservation system and does not replace it.

4. Making a booking

When you book a premium table through Tablz:

  • You select a specific table, date and time from the options the restaurant has made available.
  • You pay a table fee at the time of booking, not at the restaurant.
  • Your booking is confirmed once payment is completed and we send you a confirmation by email or SMS. Until you receive that confirmation, your booking is not confirmed.

The table fee is the total mandatory amount you pay us for that booking. The price we show you before you book includes every mandatory charge we impose — there is no separate service fee, booking fee or processing fee added later. Applicable taxes are shown at checkout. Optional extras are clearly identified as optional and are never pre-selected.

The only charge you may incur after booking is a cancellation or no-show fee, and only where the restaurant's policy for your booking — shown to you and agreed before you complete the booking — provides for one. See section 7.

The table fee is a charge for reserving that specific table. It is not a deposit and does not apply toward your food and drink bill. You pay for your meal at the restaurant as normal.

Bookings are subject to availability and to the restaurant's own capacity, seating and house policies. Restaurants set their own prices, availability, menus and policies, and are responsible for the accuracy of the information they give us about them.

5. Payment and who you are paying

Card details are entered directly into a secure payment form hosted by our payment processor, Stripe. Tablz does not receive, store or handle your full card number, expiry date or security code.

For premium bookings that Tablz fulfils, Tablz is the merchant of record: the charge on your statement comes from us, and we — not the restaurant and not Stripe — are responsible for the transaction, including billing questions and any refund due under these Terms. Where we collect amounts owed to the restaurant, we do so as the restaurant's limited payment collection agent, and payment to us discharges your obligation to the restaurant for that amount.

Where a booking is confirmed and we later transfer the restaurant's share to it, that transfer is between us and the restaurant and does not affect your rights under these Terms.

We may place a temporary authorisation on your card when you provide your card details. Where the restaurant's policy you agreed to at booking provides for a cancellation or no-show fee, that fee is charged to the payment method you used to book. Your bank or card issuer may apply its own charges, including foreign-currency and cross-border fees, which we do not control and do not receive.

If you think a charge is wrong, please contact us first at customerservice@tablz.com. We will investigate and, where a refund is due, issue it. Contacting us is usually faster than a card dispute, and it lets us fix genuine errors without involving your bank. Nothing here limits your rights under your card network's dispute rules. We may suspend access to the Service where we reasonably believe the dispute process is being misused.

6. Taxes

Where we are required to collect tax on the table fee, it is shown at checkout and collected with your payment. Tax on your food and drink is charged by the restaurant in the normal way.

7. Changing and cancelling your booking

You can change or cancel your booking online, using the link in your confirmation email or SMS, at any time the restaurant's policy allows. You can also email us at customerservice@tablz.com and we will help.

Each restaurant sets its own cancellation and no-show policy for Tablz bookings. The policy that applies to your booking is shown to you before you complete it and forms part of your agreement for that booking. In general:

  • If you cancel within the window the restaurant allows, its policy determines whether the table fee is returned to you.
  • If you do not arrive, the restaurant may treat the booking as a no-show and keep the table fee, and — where its policy provides for one — a no-show fee may be charged to the payment method you used to book.
  • If you arrive significantly late, the restaurant may not be able to hold your table.

Tablz does not set these policies and is not responsible for them or for how a restaurant applies them. We are, however, responsible for showing them to you accurately before you book.

If the restaurant cancels or cannot honour your booking — because it closes, loses capacity, or for any other reason — we will tell you as soon as we can and refund the table fee in full, to your original payment method, within 10 business days. That is the extent of our responsibility for a booking the restaurant does not honour; any further claim is between you and the restaurant.

8. Refunds

Whether a table fee is refundable is determined by the restaurant's policy for your booking, shown to you at the time you book. To request a refund, use the link in your confirmation or contact us at customerservice@tablz.com. We process refunds ourselves, in line with that policy, and where a refund is due we return it to your original payment method within 10 business days.

Refunds we owe you under section 7 (restaurant cancellation) are not subject to the restaurant's policy.

9. If you are a consumer in the UK or EU

A Tablz booking is a contract for catering and related leisure services to be performed on a specific date and time. Under Article 16(1)(l) of Directive 2011/83/EU and regulation 28(1)(h) of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the 14-day right of withdrawal does not apply to contracts of this kind.

By completing your booking you request that we begin providing the Service immediately and acknowledge that you will lose any right of withdrawal once we have done so.

The restaurant's cancellation policy, shown to you before you book, still applies, and nothing in this section affects your other rights under the consumer law of the country where you live.

10. Your information

To make a booking we need your name, email address and phone number, so the restaurant can identify your reservation and we can confirm it with you. You may also choose to give us dietary notes or special requests, which we pass to the restaurant.

We handle most booking data on the restaurant's behalf, and some data — such as platform security and our own communications with you — for our own purposes. In practice this means we can act on some requests about your data ourselves, and for others we work with the restaurant. Either way, start with us and we will route it.

Our Privacy Policy explains what we collect, why, who we share it with, how long we keep it, and the rights you have — including access, correction, deletion, portability and objection, depending on where you live. Privacy questions and data-rights requests: customerservice@tablz.com.

11. Communications

11.1 Text messages

By providing your mobile number when you book, you agree to receive text messages from Tablz about your reservation — confirmations, changes, reminders, cancellations and arrival information.

Message frequency varies. Message and data rates may apply. Reply STOP to any message to opt out; reply HELP for help, or contact us at customerservice@tablz.com. Consent to receive texts is not a condition of any booking or purchase.

You can withdraw consent at any time by any reasonable means — replying STOP, END, CANCEL, QUIT, UNSUBSCRIBE, REVOKE or OPT OUT to a text; clicking unsubscribe in an email; emailing us; or telling us in any other way that clearly says you want the messages to stop. We do not require you to use any particular method. We will action your request promptly, and in any event within 10 business days, and may send a single confirmation that we have done so.

Your consent applies only to Tablz and the venue you booked with. We do not sell, rent, transfer or share your mobile number or your messaging consent with any third party for its own marketing.

Mobile carriers are not liable for delayed or undelivered messages.

11.2 Email

We send booking confirmations and reservation details by email. These are transactional messages about a booking you made, and you will receive them while your booking is active.

Marketing email is separate. We send it only where you have opted in or where we are otherwise permitted to, every marketing email carries a one-click unsubscribe link and our postal address, and we action unsubscribes within 10 business days. Opting out of marketing never affects your bookings.

11.3 If you are in Canada

We send commercial electronic messages only with your consent or where Canada's Anti-Spam Legislation otherwise permits it, including for two years following a booking. Every such message identifies Transparent Kitchen Inc. (Tablz), gives our mailing address at 130b Carruthers Ave, Ottawa, Ontario K1Y 1N5, Canada, and includes an unsubscribe mechanism that stays valid for at least 60 days. We action unsubscribe requests within 10 business days.

11.4 Phone calls

We may call you where it is necessary to manage your reservation.

11.5 Feedback requests

After you dine we may send you a one-time request to rate your experience. This is service feedback, not marketing, and you can opt out using any of the methods above.

12. Our content and the restaurant's

The Service — including its software, interfaces, design, text and the way venue content is presented — belongs to Tablz and its licensors. "Tablz" and our logos are our trademarks.

Restaurant names, logos, menus, photographs and descriptions belong to the respective restaurants or their licensors. Some 3D venue content is created and delivered through third-party technology and remains subject to that provider's rights.

We grant you a personal, limited, non-transferable, revocable licence to use the Service to browse venues and make bookings for your own use. Everything else is reserved.

13. Acceptable use

You agree not to:

  • use the Service in any way that breaks the law, or to harass, defraud or impersonate anyone;
  • resell, transfer, trade, auction or offer for sale any booking made through Tablz, or acquire bookings for that purpose;
  • book more than one table for yourself for the same meal service, or make bookings you do not intend to honour;
  • book under a false name, or use someone else's payment details without permission;
  • use any bot, script, scraper, crawler, automated agent or AI system to browse, hold or make bookings, or to interact with the Service in a way that a person using an ordinary browser could not;
  • interfere with, overload, probe or attempt to gain unauthorised access to the Service or its underlying systems, or reverse engineer any part of it.

If we reasonably believe you have breached this section, we may cancel the affected bookings without refund, suspend or close your access, and decline future bookings.

14. Availability and disclaimers

We work to keep the Service running reliably, but we do not guarantee it will be uninterrupted or error-free, and it may be unavailable during maintenance.

To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We make no representation or warranty about any restaurant, its food, its service, its premises or the accuracy of the information it supplies to us.

15. The restaurant's responsibility, and release

Your dining experience is provided by the restaurant, not by Tablz. Restaurants are solely responsible for all claims, injuries, illnesses, damages, liabilities and costs suffered by you or anyone in your party arising from your visit to, or interaction with, a restaurant, or from any booking. Please raise anything that goes wrong with the restaurant directly. We are happy to help where we can, but we are not a party to that relationship.

To the fullest extent permitted by law, you release Tablz, its affiliates and their respective officers, directors, employees and agents from all such claims.

If you are a California resident, you waive California Civil Code section 1542, which reads: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive the benefit of that section and of any law of similar effect in any jurisdiction.

This release does not apply to our own wilful misconduct or gross negligence, to fraud, or to death or personal injury caused by our negligence, and nothing in it limits liability that cannot be limited by law.

16. Limitation of liability

To the fullest extent permitted by law, Tablz is not liable for indirect, incidental, special, exemplary, punitive or consequential damages, for loss of profits, data or goodwill, or for the acts or omissions of any restaurant.

Our total liability to you in connection with any booking will not exceed the greater of one hundred US dollars (US$100) and the total amount you paid us for that booking.

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for our own wilful misconduct. If you are a consumer, nothing in this section affects your statutory rights.

17. Your indemnity to us

You will indemnify and hold harmless Tablz, its affiliates and their respective officers, directors, employees and agents from all claims, losses and reasonable costs arising from your breach of these Terms, your violation of any law, or any content you submit to the Service.

18. Suspension and termination

You can stop using the Service at any time. We may suspend or end your access if you breach these Terms, if we are required to by law, or if we reasonably believe it is necessary to protect the Service, our restaurant partners or other guests. Where we do so, bookings you have already paid for are handled under sections 7 and 8 unless the suspension follows a breach of section 13.

19. Events outside our control

We are not liable for any failure or delay in performing our obligations caused by an event beyond our reasonable control, including natural disaster, severe weather, fire, flood, epidemic, war, civil unrest, strike, government action, utility or telecommunications failure, or failure of a third-party service the Service depends on. If such an event prevents a booking from going ahead, we will refund the table fee in full in accordance with section 7.

20. Changes to these Terms

We may update these Terms. When we do, we will change the "last updated" date above, and where the change is material we will give you reasonable notice by email or through the Service before it takes effect.

The Terms that apply to a booking are the Terms in force when you made that booking. Changes are not retroactive. If you do not accept a material change, you may stop using the Service; your existing bookings are unaffected.

21. Governing law and disputes

Please talk to us first. Before starting any formal proceeding, email us at customerservice@tablz.com with a description of the problem and what you would like us to do. We will try in good faith to resolve it with you, and we ask that you give us 30 days to do so before commencing proceedings. Most problems are fixable this way.

These Terms and any dispute arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You and Tablz submit to the non-exclusive jurisdiction of the courts of Ontario. Either of us may bring a qualifying claim in small claims court where you live.

Nothing in these Terms deprives you of the protection of the mandatory consumer-protection laws of the country, province or state where you live, limits any non-waivable statutory right — including, for Canadian consumers, rights under applicable provincial consumer protection legislation, and the right to bring or participate in a class proceeding — or prevents you from bringing proceedings in your local courts where local law gives you that right. If you live in the United Arab Emirates, nothing in these Terms limits your rights under UAE consumer protection law or your right to bring proceedings before the competent UAE courts.

22. General

22.1 Severability. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms stay in effect.

22.2 Entire agreement. These Terms, the Privacy Policy and the restaurant's booking policy shown to you at the time of booking are the entire agreement between you and us about the Service.

22.3 Assignment. You may not assign or transfer these Terms or any booking. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.

22.4 No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

22.5 Survival. Sections 12 and 14 to 22 survive termination.

22.6 Notices. We may give you notice by email to the address you gave us, by SMS, or through the Service. You may reach us at customerservice@tablz.com or at 130b Carruthers Ave, Ottawa, Ontario K1Y 1N5, Canada.

22.7 Electronic communications. You agree that we may communicate with you electronically, and that electronic communications satisfy any legal requirement that a communication be in writing.

22.8 Third parties. Except that the restaurant you booked with may rely on sections 14, 15 and 16, no one other than you and Tablz has any right to enforce these Terms.

22.9 Language. These Terms are provided in English. Where we provide a translation and the law of your country requires the translated version to apply, that version governs for you.

22.10 Relationship. Nothing in these Terms creates a partnership, joint venture or employment relationship between you and Tablz.
